Company Registration Process
The seven steps from name clearance through to opening a corporate bank account.

Company Name Clearance
The proposed company name is submitted through BRELA's Online Registration System (ORS) for approval. The name must comply with applicable naming requirements and should not conflict with an existing registered or reserved name.

Preparation of Incorporation Documents
Once the company name is approved, the required incorporation documents are prepared. These may include:
- Memorandum and Articles of Association
- Details of directors and shareholders
- Registered office information
- Identification documents
- Share capital and shareholding information
- Beneficial ownership information
- Other prescribed incorporation forms and declarations

Submission of Application to BRELA
The incorporation application and supporting documents are submitted electronically through BRELA's Online Registration System. Applicable registration and filing fees are paid during the application process.

Certificate of Incorporation
BRELA reviews the submitted application and supporting documents. Once the application is approved, a Certificate of Incorporation is issued, confirming that the company has been legally incorporated in Tanzania.

Tax Registration and TIN
Following incorporation, the company must complete the relevant tax registration procedures with the Tanzania Revenue Authority (TRA), including obtaining a Taxpayer Identification Number (TIN). Depending on the company's activities and applicable thresholds, additional registrations may include VAT, PAYE, SDL and other tax obligations.

Obtain a Business Licence
Before commencing business operations, the company must obtain the appropriate Business Licence from the relevant licensing authority. The specific licence required depends on the company's business activities and sector. Certain regulated activities may also require additional permits, approvals, or licences.

Open a Corporate Bank Account
After completing the necessary registrations, the company may open a corporate bank account with a bank in Tanzania. Banks generally require the Certificate of Incorporation, company registration information, TIN, identification documents for authorised persons, and relevant company resolutions.
